Welcome to Cerkles. These Terms of Use (“Terms”) govern your access to and use of the Cerkles website, mobile application, products, services, and related features (collectively, the “Service”). By accessing or using Cerkles, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use the Service.

1. About Cerkles

Cerkles is operated by Limitless Technologies (“Cerkles,” “we,” “us,” or “our”). Cerkles Cerkles is a music and creator social platform built to bring artists, creators, and fans closer together. We believe discovering music should be more than pressing play. It should be about finding new voices, connecting with the people behind the music, sharing what you love, and giving creators a place where their work can be discovered, supported, and appreciated. Cerkles brings music discovery, streaming, social interaction, and creator support together in one platform.

2. Eligibility

You must be at least thirteen (13) years old to use Cerkles, unless otherwise permitted by applicable law and our specific service requirements.

By using Cerkles, you represent that:

• You meet the applicable age requirement.
• You have the legal capacity to enter into these Terms.
• The information you provide to us is accurate and up to date.
• You will comply with all applicable laws and regulations.

If you are using Cerkles on behalf of an organization or business, you represent that you have authority to bind that organization to these Terms.

3. Your Account

Certain features may require you to create an account.

You are responsible for:

• Providing accurate account information.
• Keeping your login credentials secure.
• Maintaining the confidentiality of your account.
• All activity that occurs through your account.

You must notify us promptly if you believe your account has been accessed without authorization.

We reserve the right to suspend or terminate accounts that violate these Terms or create risks to Cerkles, our users, or third parties.

4. Acceptable Use

You agree to use Cerkles responsibly and lawfully.

You may not:

• Use Cerkles for unlawful, fraudulent, or abusive purposes.
• Impersonate another person or entity.
• Create an account using false or misleading information.
• Harass, threaten, abuse, or harm other users.
• Upload or distribute malicious software, viruses, or harmful code.
• Attempt to gain unauthorized access to Cerkles or another user's account.
• Interfere with the operation or security of the Service.
• Scrape, copy, reproduce, or systematically collect content or data from Cerkles without our permission.
• Use automated systems to access the Service in a manner that places unreasonable demands on our systems.
• Circumvent security, access controls, or other technical restrictions.
• Use Cerkles to violate the rights of another person or organization.

We may investigate suspected violations and take appropriate action, including removing content, restricting access, suspending accounts, or terminating accounts.

5. User Content

You may be able to submit, upload, post, or otherwise provide content through Cerkles (“User Content”).

You retain ownership of User Content that you own. However, by submitting User Content to Cerkles, you grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, display, and distribute that content as reasonably necessary to operate, provide, maintain, and improve the Service.

You represent that:

• You own or have the necessary rights to submit the User Content.
• Your User Content does not unlawfully infringe another person's intellectual property, privacy, or other rights.
• Your User Content complies with these Terms and applicable law.

We may remove or restrict User Content that we reasonably believe violates these Terms or applicable law.

6. Cerkles Content

The Service and its contents, including software, designs, logos, trademarks, text, graphics, interfaces, and other materials provided by Cerkles (“Cerkles Content”), are owned by or licensed to Cerkles and are protected by applicable intellectual property laws.

Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, license, reverse engineer, or create derivative works from Cerkles Content without our prior written permission.

“Cerkles” and related names, logos, and marks may be trademarks of Limitless Technologies.

7. Third-Party Services

Cerkles may contain links to or integrations with third-party websites, applications, payment providers, or other services.

Third-party services are governed by their own terms and policies. Cerkles is not responsible for the availability, content, security, or practices of third-party services unless otherwise required by applicable law.

8. Payments and Subscriptions

If Cerkles offers paid products, subscriptions, or other services, applicable prices and billing terms will be presented to you before purchase.

Unless otherwise stated:

• You authorize us or our payment provider to charge the applicable fees.
• Subscription fees may automatically renew according to the subscription terms presented at purchase.
• You are responsible for applicable taxes and other charges associated with your purchase.
• Cancellation and refund terms will be provided at the time of purchase or in our applicable refund policy.

We may change pricing in accordance with applicable law. Where required, we will provide advance notice of material pricing changes.

10. Communications

By using Cerkles, you may receive service-related communications, including account notifications, security alerts, updates, and other operational messages.

Where required by law, promotional communications will be subject to your consent and available opt-out mechanisms.

11. Availability and Changes to the Service

We may modify, update, suspend, or discontinue portions of Cerkles from time to time.

We do not guarantee that the Service will always be available, uninterrupted, secure, or error-free.

We may also introduce new features or impose reasonable limits on certain features.

12. Disclaimers

To the maximum extent permitted by applicable law, Cerkles is provided on an “as is” and “as available” basis.

We do not guarantee that:

• The Service will meet every user's requirements.
• The Service will always be available or uninterrupted.
• Information provided through the Service will always be complete, accurate, or current.
• The Service will be free from errors, security vulnerabilities, or harmful components.

Nothing in these Terms excludes or limits warranties or rights that cannot legally be excluded or limited.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Cerkles and its directors, officers, employees, affiliates, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to your use of, or inability to use, the Service.

To the extent permitted by law, our total liability arising from or relating to the Service will be limited to the greater of:

1. The amount you paid to Cerkles for the Service during the Six (6) months preceding the event giving rise to the claim; or

14. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Cerkles and its directors, officers, employees, affiliates, and service providers from claims, liabilities, damages, losses, and expenses arising out of:

• Your misuse of the Service.
• Your User Content.
• Your violation of another person's rights.
• Your violation of applicable law.

15. Suspension and Termination

You may stop using Cerkles at any time.

We may suspend or terminate your access to the Service if:

• You violate these Terms.
• We reasonably believe your use creates a security, legal, or operational risk.
• We are required to do so by law.
• We discontinue the relevant Service.

Sections that by their nature should survive termination—including intellectual property, disclaimers, limitations of liability, indemnification, and dispute provisions—will continue to apply after termination.

16. Dispute Resolution

These Terms are governed by the laws of Ghana without regard to its conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Service will be resolved by the courts located in Accra, Ghana unless applicable law requires otherwise.
